PLEASE READ THESE TERMS CAREFULLY. These Platform Terms and Conditions (the “Terms”) form a binding agreement between you (“you”, “your” or the “User”) and Technologies EqualDocs IA inc. (“EqualDocs Technologies”, “we”, “us” or “our”), a corporation having its registered office in the Province of Québec. By clicking “I Agree”, creating an account, or otherwise accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree, do not access or use the Platform.

1. The Platform and What It Is — and Is Not

“Platform” means the EqualDocs website, web and mobile applications, client portal, intake tools and related technology operated by EqualDocs Technologies, together with any artificial-intelligence (“AI”) features made available through them.

The Platform is a technology service. It provides software tools that help you organize information, communicate, manage documents and, where applicable, connect with a law firm. Access to and use of the Platform does not, by itself, create a lawyer-client relationship and does not constitute legal advice or legal services.

Legal services, where engaged, are provided separately by EqualDocs Avocats inc., a law firm whose lawyers are members of the Barreau du Québec, under a distinct written engagement that you will be asked to enter into for that purpose. AI-generated outputs available on the Platform are informational tools only and are not a substitute for advice from a qualified lawyer.

Nothing on the Platform should be relied upon as legal advice unless and until it is provided to you by a lawyer of EqualDocs Avocats inc. under a signed engagement agreement.

2. Eligibility and Account

You must be at least 18 years old and able to form a binding contract under applicable law to use the Platform.

You agree to provide accurate, current and complete information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account.

You agree to notify us promptly of any unauthorized use of your account or any other breach of security.

3. Acceptable Use

You agree not to:

  • use the Platform for any unlawful, fraudulent or misleading purpose;
  • upload content that infringes the rights of others or that is defamatory, harmful or unlawful;
  • attempt to gain unauthorized access to the Platform, other accounts, or our systems, or to circumvent security or usage limits;
  • interfere with or disrupt the integrity or performance of the Platform;
  • reverse engineer, decompile, scrape, or copy the Platform or its underlying software except to the extent this restriction is prohibited by law; or
  • use the Platform to build or train a competing product or service.

4. Your Content and Data

“User Content” means the information, documents and materials you submit to or through the Platform. As between you and us, you retain ownership of your User Content.

You grant us a limited, non-exclusive licence to host, store, process, transmit and display your User Content solely as necessary to operate the Platform and provide the services to you, and as otherwise permitted under our Privacy Policy.

You represent that you have the rights necessary to submit your User Content and that doing so does not violate any law or third-party right.

Privacy. Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms and is administered in accordance with Québec’s Act respecting the protection of personal information in the private sector (Law 25) and other applicable privacy laws. 5. Intellectual Property

The Platform, including all software, text, graphics, designs, trademarks and the EqualDocs name and logo, is owned by EqualDocs Technologies or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for your own lawful purposes in accordance with these Terms. No other rights are granted.

6. AI Features

Certain features use artificial intelligence to generate text or suggestions based on the information you provide. AI outputs may be incomplete, inaccurate, out of date or otherwise unsuitable for your situation, and may not reflect current law. You should not act on any AI output without verification by a qualified professional. Use of AI features may be subject to a separate AI Subscription Agreement.

7. Disclaimers

To the fullest extent permitted by law, the Platform is provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including any implied warranty of quality, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free or secure, or that any output will meet your requirements.

8. Limitation of Liability

To the fullest extent permitted by applicable law, EqualDocs Technologies and its directors, officers, shareholders, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill or business, arising out of or relating to your use of (or inability to use) the Platform, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to the Platform will not exceed the greater of (i) the amount you paid to us for access to the Platform in the twelve (12) months preceding the event giving rise to the claim, or (ii) CAD $100.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including the mandatory protections of the Québec Consumer Protection Act where it applies to you, or liability for bodily or moral injury caused by fault.

9. Indemnity

You agree to indemnify and hold harmless EqualDocs Technologies from any claims, losses, liabilities and reasonable expenses (including legal fees) arising out of your User Content, your breach of these Terms, or your unlawful use of the Platform, except to the extent caused by our own fault.

10. Suspension and Termination

We may suspend or terminate your access to the Platform if you breach these Terms, if required by law, or to protect the Platform or other users. You may stop using the Platform at any time. Provisions that by their nature should survive termination (including Sections 4, 5, 7, 8, 9, 12 and 13) will survive.

11. Changes to the Platform and to These Terms

We may modify the Platform or these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms on the Platform or by email). Your continued use after the changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.

12. Governing Law and Disputes

These Terms are governed by the laws in force in the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.

Subject to any mandatory consumer-protection rights, the courts of the judicial district of Montréal, Québec will have jurisdiction over any dispute arising out of or relating to these Terms or the Platform.

13. General

Entire agreement. These Terms, together with the Privacy Policy and any agreement you enter into for AI subscription or legal services, constitute the entire agreement between you and us regarding the Platform.

Severability. If any provision is held unenforceable, the remaining provisions remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger or sale.

External and adhesion clauses. You acknowledge that you have had the opportunity to read each clause of these Terms, including the limitation-of-liability provisions, and that they have been brought to your attention.

Language. The parties confirm their express wish that these Terms and all related documents be drawn up in English. Les parties confirment leur volonté expresse que la présente entente et tous les documents qui s’y rattachent soient rédigés en anglais.

14. Acceptance

By clicking “I Agree” (or an equivalent button) and/or by accessing or using the Platform, you confirm that you have read and understood these Terms and agree to be bound by them. No handwritten or electronic signature is required; your click and use constitute your acceptance.
